They have also been involved in major banking M&A transactions (including the aborted mergers of Alpha Bank – National Bank of Greece and of Alpha Bank – Eurobank), acquisitions of qualifying holdings in credit institutions, reorganizations of credit institutions, syndicated bond loans, convertible and exchangeable bonds, project finance and acquisition finance.
Indicatively, our Lawyers have provided day-to-day legal support to the private banking department of Societe Generale (Societe Generale Bank & Trust, Greek branch), the treasury department of Alpha Bank (derivative agreements, MIFID implications, negotiation of ISDA Master Agreements, GMRAs and European Master Agreements) and ad hoc support to HSBC Greece (redrafting general terms and conditions following regulatory changes, such as the new Regulation on derivatives settlement and the implementation of MIFID II) and Attica Bank (recapitalization of 2015 and share capital increase of 2018).
Our team has drafted, reviewed and negotiated the terms of a number of complex financial transactions, such as the debt restructuring of Lambrakis Press S.A. and syndicated loans of FG Europe S.A. (listed on AthEx) and its affiliate RF Energy S.A. Recently, our Firm was selected by a systemic Greek bank to handle a portfolio of non-performing exposures of major corporate clients.
